Introduction

Welcome to Flowspot! These Terms of Service ("Terms") govern your access to and use of the Flowspot platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Definitions

For the purposes of these Terms:

• Flowspot: A collaborative platform that extends human cognition through an infinite digital canvas, allowing users to create, connect, and interact with Flowspot Nodes in real-time.

• Service: The Flowspot platform, including the website, applications, and all associated features and functionalities.

• User Account: An account created by an individual to access the Service.

• Workspace: A dedicated collaborative environment within the Service containing Flows, Nodes, and user permissions.

• Flow: A live collaborative environment within a Workspace where users create, connect, and interact with Flowspot Nodes on the visual canvas.

• Flowspot Node: The fundamental element within Flows representing pieces of content or interactions.

• Premium Seat: A paid subscription within a Workspace that grants assigned members access to advanced capabilities, including AI features.

• Credits: Units used within the Service to access AI features and other premium functionalities.

• AI Integration: The capability of the Service to embed artificial intelligence within the collaborative canvas, enhancing productivity for members with premium access.

Acceptance of Terms

By creating a User Account or accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement.

User Accounts

Account Creation

• To access the Service, you must create a User Account.
• You agree to provide accurate, current, and complete information during the registration process.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Responsibilities

• You agree to immediately notify Flowspot of any unauthorized use of your account or any other breach of security.
• Flowspot will not be liable for any loss or damage arising from unauthorized use of your account.

Workspaces

Creation and Ownership

• Users may create Workspaces or be invited to join existing ones.
• The creator of a Workspace is designated as the Owner and has full administrative control over the Workspace.

Workspace Access

• Workspaces manage their own membership, permissions, and content.
• Users can be part of multiple Workspaces simultaneously.

Workspace Content

• All content within a Workspace is accessible to its members based on their assigned roles and permissions.

User Roles and Permissions

Roles

• Owner: Has full control over the Workspace, including billing, subscription management, credit purchases, seat assignments, and administrative settings.

• Admin: Can manage Workspace settings and members, monitor credit usage, and assign or remove Premium Seats if authorized by the Owner.

• Member: Standard user who can participate fully in Flows, creating and editing Nodes.

• Guest: User with limited access, typically restricted to viewing content or adding comments.

Permissions

• Roles determine the level of access and capabilities within a Workspace.
• Owners and Admins can assign roles and adjust permissions for other users in the Workspace.

Premium Features and Subscriptions

Premium Seats

• Premium Seats are paid subscriptions that grant assigned members access to advanced features, including AI Integration.

• Workspace Owners can assign Premium Seats to Members.

• Premium Seat subscriptions are managed and billed through third-party payment providers.

Subscription Billing

• Subscription fees are billed on a monthly basis.

• All payments are processed securely through our payment partners.

• Subscription fees are non-refundable except as required by law.

Credits

• Credits are required to access certain features, such as AI functionalities.

• Credits can be allocated monthly as part of Premium Seat subscriptions or purchased separately.

• Credits may have expiration dates and are subject to terms at the time of purchase.

Credit Management

Allocation

• Workspaces receive a monthly allocation of Credits based on their subscription plan.

• Additional Credits can be purchased by the Workspace Owner.

Usage

• Credits are consumed when using premium features that require them.

• It is the responsibility of Workspace Owners and Admins to monitor credit usage.

Expiration

• Monthly allocated Credits may expire if not used within the specified time frame.

• Purchased Credits may be permanent (do not expire) or subject to expiration as outlined at the time of purchase.

AI Integration

Access and Usage

• AI features are available to users assigned Premium Seats with sufficient Credits.

• Use of AI features consumes Credits as specified within the Service.

Limitations

• AI responses are generated by third-party providers and are provided "as is."

• Flowspot does not guarantee the accuracy, completeness, or usefulness of AI-generated content.

User Responsibility

• Users are responsible for reviewing and verifying AI-generated content before use.

• Flowspot is not liable for any decisions made based on AI-generated content.

User Conduct

Acceptable Use

• Users must comply with all applicable laws and regulations.

• You agree not to:

  • Upload or share content that is unlawful, harmful, or infringes on the rights of others.

  • Harass, abuse, or harm other users.

  • Use the Service for any unauthorized or illegal purposes.

Content Standards

• Content submitted to the Service must not:

  • Contain offensive language or imagery.

  • Promote discrimination, hatred, or harm against any individual or group.

  • Include personal data of others without consent.

Enforcement

• Flowspot reserves the right to investigate violations of these Terms.

• We may remove content or suspend accounts at our sole discretion.

Intellectual Property Rights

Ownership

• Flowspot and its licensors own all rights, title, and interest in and to the Service, including all intellectual property rights.

License to Use

• Flowspot grants you a limited, non-exclusive, non-transferable license to access and use the Service for personal or internal business purposes.

User Content

• You retain ownership of the content you create within the Service.

• By submitting content, you grant Flowspot a worldwide, royalty-free license to use, reproduce, modify, and display the content as necessary to provide the Service.

Limitation of Liability

• To the fullest extent permitted by law, Flowspot shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.

  • Loss of profits, data, or other intangible losses resulting from your access to or use of the Service.

• Flowspot's total liability to you shall not exceed the amount paid by you to Flowspot in the twelve (12) months preceding the claim.

Disclaimer of Warranties

• The Service is provided on an "as is" and "as available" basis.

• Flowspot makes no warranties, express or implied, regarding the Service's operation or availability.

Indemnification

• You agree to indemnify and hold harmless Flowspot and its affiliates from any claims, losses, damages, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

Changes to the Terms

• Flowspot may modify these Terms at any time.

• We will provide notice of changes by updating the "Last updated" date and, where appropriate, additional notifications.

• Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Termination

By Flowspot

• We may suspend or terminate your access to the Service at any time, with or without cause or notice.

By User

• You may discontinue use of the Service at any time.

Effects of Termination

• Upon termination, all licenses and rights granted to you in these Terms will cease.

• Content you have submitted may remain on the Service unless removed by Flowspot.

Governing Law

• These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.

Dispute Resolution

• Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in the United States of America.

Severability

• If any provision of these Terms is found to be unenforceable, the remainder of the Terms shall remain in full force and effect.

Entire Agreement

• These Terms constitute the entire agreement between you and Flowspot regarding the Service and supersede all prior agreements.
